Agreeing to these terms
These terms are the agreement between you and NibNotes, a product of Pratt Ventures LLC ("we," "us"), covering the NibNotes desktop application and the nibnotes.com website. By starting a trial, buying a license, or using the app, you agree to them. If you're using NibNotes for an employer or another organization, you're confirming you're allowed to accept these terms on its behalf. You need to be at least 18, or the age of majority where you live, to use NibNotes.
Your license to use NibNotes
Once your trial starts (and continuing after your one-time purchase), we grant you a personal, non-exclusive, non-transferable license, perpetual for the version you purchased (with updates at our discretion), revocable only if you materially breach these terms. You may install and use NibNotes on computers you own or control, for your own note-taking. That's the whole grant. You don't buy the software itself; you buy the right to use it.
You agree not to: resell, rent, sublicense, or redistribute NibNotes; share your license or account with others; reverse-engineer, decompile, or try to extract our source code except where the law says we can't stop you; remove or hide our branding; or use NibNotes to build a competing product. If you break these terms, the license can end (see Ending these terms).
Using NibNotes responsibly
NibNotes records and transcribes meetings on your computer, at your direction. Because you're the one doing the recording, a few responsibilities are yours:
- Recording consent is on you. Laws about recording conversations vary: some US states and many countries require the consent of everyone on the call, not just you. You represent and warrant that, for every recording you make, you have obtained all consents and given all notices required by the laws applicable to you and to every participant. NibNotes includes an optional consent announcement to help, but using it (or not) doesn't shift this responsibility to us. This includes voice matching, which tells voices apart on your computer, is on by default, and can be turned off in Settings.
- Comply with all applicable laws. You will comply with all applicable laws, including recording, wiretap, privacy, and data-protection laws, in how you use NibNotes.
- Use it lawfully. Don't use NibNotes to record where you have no right to, to harass or surveil people, or for anything illegal or that infringes someone else's rights.
- Keep your access secure. You're responsible for your account email, your license, and any activity under them, as well as keeping your own copies of notes you want to preserve.
- Don't abuse the service. Don't attempt to break, overload, or circumvent the license checks, billing, AI credits, or the app's technical limits.
Your free trial and the one-time price
Here's exactly how paying for NibNotes works, so there are no surprises:
- Your trial is 14 days free. To start it you add a card through Stripe, but nothing is charged that day. Adding a card also unlocks $5 of free AI credits. You can start using them straight away, and whatever is left is still yours if you go on to buy.
- The card on file is charged the one-time $29.99 automatically when your 14-day trial ends. You can cancel the trial in the app at any point in those 14 days and nothing is charged. (The optional auto-top-up for AI credits described below is a separate, additional charge you switch on yourself. It is off by default, and only for the credit packs.)
- If you cancel during the 14 days, nothing is charged and the app locks straight away, not at the end of the 14 days. If you do nothing, the trial converts: your card is charged $29.99 once and NibNotes is yours to keep.
- NibNotes is a one-time purchase, not a subscription: there's no recurring bill and no auto-renewal. If you decide NibNotes isn't for you, just don't buy it. You can also end your trial early from the app's menu at any time.
- After you buy, the license is yours to keep: a perpetual license for the version you bought, with updates provided at our discretion.
- An internet connection is required to start the free trial, to purchase, and to activate your license. After that, NibNotes works offline: recording and transcription are local, and your saved license keeps working with no connection. Writing the notes is the one step that needs a connection, unless you point NibNotes at an AI on your own machine.
Prices are in US dollars and don't include any taxes that may apply. We may change our pricing for new purchases, but a change never reaches back to a license you've already bought.
AI credits and top-ups
To write your notes, NibNotes uses an AI language model. There are two ways to power that, and the one-time $29.99 for the app applies either way:
- Built-in AI. You get $5 of AI credits (roughly 40 hour-long meetings at current rates) through a spend-capped key we provision for you. That is a single grant, not one per stage: the same $5 is unlocked when you start your trial and stays with you when you buy. Buying does not add a second $5. If you want more, you can buy optional top-up packs of $5 in credit for $5.75 (that includes a 15% service fee that covers processing and running the service). You can also turn on auto-top-up, which buys at most one pack per day when your balance runs low, so notes never stall mid-week. Credits pay for AI usage only and aren't refundable or redeemable for cash.
- Bring your own key. Instead of the built-in credits, you can connect your own AI provider account (such as Anthropic, OpenAI, Groq, or OpenRouter) or run a local model. The app's one-time $29.99 still applies; your own key just replaces the built-in credits, and any usage there is billed by that provider under its own terms.
All sales final after the charge
The 14-day free trial is your chance to decide before you pay a cent: cancel in the app during the 14 days and you are never charged. Because you get the full product free for two weeks before any money moves, the sale is final once the card is charged, except where a refund is required by the law that applies to you; we honor every refund right your local consumer law gives you, and if something has gone wrong we would always rather sort it out than leave you unhappy. Unused AI top-up credits are also non-refundable, since we're charged for provisioning them, but you're never obligated to buy any. If something's gone wrong, email [email protected]; we're reasonable people and we'd rather sort it out than leave you unhappy.
The AI notes are a helpful draft, not gospel
NibNotes uses automated speech-to-text and an AI model to turn what was said into written notes. That's genuinely useful, but it isn't perfect: transcription can mishear names, numbers, and jargon, and AI summaries can miss points, add ones that weren't made, or get details wrong. Treat the notes as a helpful first draft and check anything that matters: decisions, commitments, figures, dates.
NibNotes is a note-taking tool, not a professional advisor. The notes are informational only and are not legal, medical, financial, or other professional advice, and they're not an official or certified transcript. Don't rely on them as the sole record of anything important, and don't use them as evidence of what was agreed without confirming it yourself.
Third-party services
NibNotes leans on a couple of outside services to do its job, and your use of them is subject to their terms as well as ours:
- Stripe handles payments. You enter your card into Stripe, and Stripe stores it; NibNotes never sees or stores your card number.
- An AI provider writes your notes. Only the finished transcript text is sent (never your audio, which stays on your computer) and the built-in AI is routed under no-training and no-retention terms. You can also use your own key or a local model instead.
How your data is handled is spelled out in our Privacy Policy, which is part of these terms. We're not responsible for the acts, outages, or terms of these third parties, but we pick them carefully.
Who owns what
This part is simple. You own your content: your recordings, transcripts, notes, and anything you type in. They live on your computer, and we don't claim any rights to them. We own NibNotes (the app, the name, the logo, the website, and everything that makes it work) along with all related intellectual property. These terms give you a license to use NibNotes; they don't transfer any ownership of it to you. If you send us feedback or suggestions, we can use them to improve NibNotes without any obligation to you.
No warranties
We work hard to make NibNotes reliable, but to the fullest extent the law allows, NIBNOTES IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. We don't promise that NibNotes will be uninterrupted, error-free, or perfectly accurate, that it will catch every meeting, or that transcripts and notes will be complete or correct. Some places don't allow certain warranty exclusions, so parts of this may not apply to you.
Nothing in these terms takes away any statutory rights you have as a consumer. Any disclaimers and limitations in these terms apply only to the extent permitted by the mandatory law of your country of residence, and where that law gives you rights that can't be waived, those rights stand.
Limits on our liability
To the fullest extent the law allows, NibNotes and Pratt Ventures LLC won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost business, arising out of or relating to your use of NibNotes, even if we've been told such damages are possible. OUR TOTAL LIABILITY FOR ANY AND ALL CLAIMS RELATING TO NIBNOTES IS CAPPED AT THE AMOUNT YOU ACTUALLY PAID US IN THE 12 MONTHS BEFORE THE CLAIM (WHICH, FOR MOST PEOPLE, IS THE ONE-TIME $29.99). Some jurisdictions don't allow these limits, so they may not fully apply to you.
NOTHING IN THESE TERMS LIMITS OR EXCLUDES OUR LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, OR ANYTHING ELSE THAT CANNOT BE LIMITED OR EXCLUDED UNDER THE LAW THAT APPLIES TO YOU.
Nothing in these terms affects your statutory rights as a consumer. The disclaimers and liability limits above apply only to the extent permitted by the mandatory law of your country of residence.
Covering us for how you use it
You agree to defend, indemnify, and hold harmless Pratt Ventures LLC (and our officers, employees, and agents) from and against any and all third-party claims, demands, actions, damages, losses, liabilities, and costs (including reasonable attorneys' fees) that arise from your misuse of NibNotes or your breach of these terms. This expressly includes claims that you recorded someone without the consent the law required, including under two-party (all-party) consent and wiretap laws such as those of California, Florida, Pennsylvania, Illinois, Washington, Massachusetts, and Maryland, and comparable non-US recording, wiretap, and data-protection regimes, and any claim that you used NibNotes to break the law or infringe someone's rights. In plain terms: how and where you choose to record is your call, so the responsibility for that choice is yours.
Resolving disputes
If a dispute comes up, let's try to fix it directly first. Before starting any formal proceeding, you agree to email [email protected] and give us 30 days to resolve the issue informally. Most things can be sorted out this way, and we genuinely prefer it.
If that doesn't resolve it, these terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws rules, and you and Pratt Ventures LLC agree that any dispute relating to NibNotes will be brought exclusively in the state or federal courts located in Utah, with both sides consenting to the personal jurisdiction of those courts.
Class-action waiver. To the extent the law allows, you and we agree that claims may be brought only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. If the law where you live doesn't permit this waiver, it won't apply to you, and nothing here takes away any consumer-protection rights you have under the mandatory laws of the place you live.
Ending these terms
You can stop using NibNotes and end these terms at any time by uninstalling the app; if you're in a trial, cancel it in the app before the 14 days are up and you won't be charged. We may suspend or end your license if you materially break these terms (for example, by abusing the service or infringing others' rights). If we ever discontinue NibNotes, we'll aim to give reasonable notice. Because your recordings, transcripts, and notes live on your own computer, ending these terms doesn't touch those files; they stay with you. The sections that by their nature should survive (ownership, disclaimers, liability limits, indemnification, dispute resolution, and governing law) continue to apply after these terms end.
Changes to these terms
We may update these terms as NibNotes evolves. When we make a material change, we'll update the effective date at the top and note the change on nibnotes.com. If you keep using NibNotes after a change takes effect, that means you accept the updated terms. If you don't agree with a change, stop using the app.
A few final terms
These last points are standard, but they matter:
- Assignment. We may assign or transfer these terms, for example, if NibNotes or Pratt Ventures LLC is sold or reorganized. You may not assign or transfer your rights under these terms without our written consent.
- Severability. If any provision of these terms is found unenforceable, it will be limited or removed to the smallest degree necessary, and the rest of the terms stay in full force.
- Entire agreement. These terms, together with the Privacy Policy, are the entire agreement between you and us about NibNotes, and they supersede any prior statements, understandings, or marketing about it.
- No waiver. If we don't enforce a part of these terms right away, that isn't a waiver; we can still enforce it later.
- Notices. We'll send you any notice by email to the address on your account; you can reach us with any notice at [email protected].
- Force majeure. We're not liable for delays or failures caused by things beyond our reasonable control: outages, network or provider failures, natural events, or government actions.
- Export and sanctions. You represent that you are not located in a country subject to a US government embargo, and that you are not on any US government restricted-party or denied-persons list, and you agree not to use NibNotes in violation of export or sanctions laws.
